These Terms of Service (“Terms”) are a legal agreement between you and Starcode Tech, vl. Karlo Starčević(“qrez,” “we,” “us”) governing your use of the qrez website and platform (the “Service”). If you are using the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms.
The Service
qrez provides tools for restaurants, cafés, and food trucks to publish QR-code menus, accept orders, take payments, and manage those orders. We may add, change, or remove features over time.
Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.
Your responsibilities as a merchant
- You are solely responsible for your menu content, pricing, allergen and dietary information, order fulfillment, and the food and service you provide to your guests.
- You are responsible for complying with all laws that apply to your business, including food-safety, labeling, consumer-protection, and tax laws, and for collecting and remitting any applicable taxes.
- Your relationship with your guests is between you and them. qrez is a technology provider and is not a party to the sale of food or beverages.
Payments
Payment processing is provided by Stripe and is subject to the Stripe Connected Account Agreement and Stripe’s terms. When you enable payments, you are the merchant of record for your sales: funds settle to your connected Stripe account, and you are responsible for chargebacks, refunds, disputes, and taxes on your sales. qrez may charge a platform fee per transaction, disclosed in the Service.
Fees and subscriptions
qrez is free to use during early access. We may introduce subscription or usage-based fees in the future; if we do, we will give you notice before those fees apply to you, and continued use after they take effect constitutes acceptance. Any transaction platform fees are described in the Service.
Acceptable use
You agree not to:
- Use the Service for any unlawful, fraudulent, or harmful purpose.
- Upload content that is illegal, infringing, deceptive, or that you do not have the right to use.
- Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Service or its systems.
- Reverse engineer or resell the Service except as permitted by law.
Intellectual property
The Service, including its software, design, and branding, is owned by qrez and its licensors and is protected by law. You retain ownership of the content you upload, and you grant us a limited license to host and display it as necessary to operate the Service.
Third-party services
The Service integrates third-party services such as Stripe and cloud infrastructure providers. Your use of those services may be subject to their own terms, and we are not responsible for them.
Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
Limitation of liability
To the maximum extent permitted by law, qrez will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the claim or one hundred U.S. dollars ($100).
Indemnification
You agree to indemnify and hold qrez harmless from claims, damages, and expenses arising out of your use of the Service, your content, your sales to guests, or your violation of these Terms or applicable law.
Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or if necessary to protect the Service or other users. Provisions that by their nature should survive termination will survive.
Governing law
These Terms are governed by the laws of the Republic of Croatia, without regard to its conflict-of-laws rules. The courts of the Republic of Croatia will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, unless otherwise required by applicable law.
Nothing in these Terms limits any mandatory consumer-protection or data rights you may have under the laws of your place of residence, including for residents of the United States.
Changes to these Terms
We may update these Terms from time to time. We will revise the “Last updated” date above and, for material changes, provide additional notice. Continued use of the Service after changes take effect means you accept the updated Terms.
